Subscriber’s Compliance with Pre-recorded Message and Consent Requirements
Subscriber understands and acknowledges that roister provides tools for Subscriber’s responsible use, and it is Subscriber’s sole responsibility for such use. Continued access and use of the roister Services is subject to Subscriber’s compliance with these Terms of Use. roister may monitor, but is not obligated to and bears no responsibility for, uploading of information, databases, or audio messages. In addition to other requirements set forth in these Terms of Use, Subscriber agrees that it shall comply with all applicable laws and the following requirements
Compliance with Applicable Telemarketing and Dialing Laws
Subscriber agrees to comply with all applicable Federal and State laws, rules, and regulations governing the use of automated or prerecorded/artificial calls or texts, including but not limited to the Telephone Consumer Protection Act, the Telemarketing Sales Rule, Do-Not-Call regulations, and any equivalent state laws. Subscriber must provide accurate Caller ID info, all legally required disclosures, and is solely responsible for legal compliance.
Affirmative Consent Where Required
Subscriber acknowledges that certain communications require recipient consent. If Subscriber lacks such consent, a qualifying business relationship, or a valid legal exemption, Subscriber must not make that communication. Subscriber affirms they maintain records to prove such consent or exemption and will provide certified copies to roister upon request.
Terms of Use
These Terms of Service (“Agreement”) are between roister TechnologiesInc (“roister”) and the individual or entity accessing our platform and services (“Subscriber”), covering features, tools, and support (“Services”). If you disagree with these terms, you must not use our Services. Continued use signifies acceptance of the most current terms.
roister may revise these terms and update its Services without prior notice.
General
roister grants a limited, non-exclusive, non-transferable license to access the Site for lawful use only. Content may not be copied, modified, or reused without written consent. Violations will terminate your access and require the destruction of any materials. All intellectual property rights are reserved.
Subscriber’s failure to comply with this Agreement will result in automatic termination of any rights granted to Subscriber, without prior notice, and Subscriber must immediately destroy all copies of downloaded materials in Subscriber’s possession or control. Except for the limited permission in the preceding paragraph, AutoNow does not grant Subscriber any express or implied rights or licenses under any patents, trademarks, copyrights, or other proprietary or intellectual property rights. Subscriber may not mirror any of the content from this Site on another website or in any other media.
Certain Disclaimers
Information on the roister website may be incomplete, outdated, or inaccurate. We are not obligated to update or verify content. Subscriber must verify all content before relying on it.
Subscriber Data
Subscriber grants roister a non-exclusive, royalty-free license to use, reproduce, and adapt Subscriber-provided data for performance of the Services, internal research, development, and business operations.
Usage Data
roister retains full ownership of usage, technical, and statistical data collected through the platform and may use and disclose it without restriction.
Confidentiality
Each party may share confidential information. Confidential Information is data marked or reasonably understood to be confidential. The receiving party must protect such data with reasonable care and may not disclose it except as needed to fulfill obligations under this Agreement. Exceptions include data that:
- Was previously known without obligation,
- Was independently developed,
- Came from a third party lawfully,
- Or became public through no fault of the receiving party.
Disclosure required by law must be narrowly limited and, where possible, preceded by notice to the disclosing party.
Return and Remedies
Upon request or termination, all confidential information must be returned or destroyed. Breach of confidentiality may result in injunctive relief and other remedies.
Indemnification
Subscriber agrees to defend and indemnify roister, its affiliates, employees, and agents from any claims, damages, or costs arising from:
- Breach of this Agreement,
- Negligence or misconduct,
- Or misuse of the Services.
If roister requests Subscriber to lead a defense, Subscriber must obtain roister’s approval for counsel, allow roister to participate, and not settle without consent.
Warranty Disclaimer
All services and materials are provided “as is.” roister disclaims all warranties, including merchantability, fitness for purpose, and non-infringement. We do not guarantee uninterrupted, secure, or error-free service. Subscriber assumes all risk when using the platform.
Limitation of Liability
roister is not liable for indirect, incidental, special, or consequential damages, including lost profits or business interruptions, even if advised of the possibility. This applies regardless of legal theory.
Compliance with Law
Subscriber is responsible for complying with all relevant laws, including the Telephone Consumer Protection Act (TCPA), wiretapping laws, and data privacy rules. Subscriber acknowledges that calls may be recorded and bears sole legal responsibility for communication sent via the Services.
Third Party Content & Sites
roister is not responsible for third-party platforms, websites, or services linked to or embedded in the platform. Subscriber assumes all risk when interacting with such content. Mentions of third parties are not endorsements.
Social Media & Third-Party Content
Subscriber grants roister a perpetual, irrevocable license to use, distribute, and create derivative works from any material posted to third-party platforms in connection with roister or its Services.
Relationship of the Parties
The parties are independent contractors. Neither party is authorized to bind or obligate the other without written consent.
Dispute Resolution
All disputes shall be resolved via arbitration in Kent County, Delaware, under AAA commercial arbitration rules. Small claims are allowed if permitted by the rules. No class actions or jury trials are allowed. Each party pays its own legal fees unless otherwise decided by the arbitrator.
Security
roister maintains an information security policy covering data protection, system access, risk assessment, retention, and disposal. Access to sensitive data is restricted to authorized users. Confidentiality agreements and data classification standards are enforced to ensure data security.
